**Action Required:** Review the updated SARB application (Third Draft) and provide comments. Stephan requests comments before sharing with ENS for parallel review. Michael Barker (Star Capital) has agreed to review and suggested ENS reviews in parallel.

**Email Body (Stephan Spamer — original):**
Hi all,
Attached is the updated SARB application for your consideration and comment. Insofar as the annexures are concerned: I am working with Pieter Richards to get Annexures A and B sorted; Christoph Levenhagen and I are working with BDO to finalise Annexure E; and Annexures I and L are being handled by Rachel Kelly.
The remaining annexures are all in hand.
The only aspect which we have not addressed yet is the hedging arrangement, but we can deal with that when we have the information available. The application may also require some updates once Annexures E, I and L are finalised.
If there are no comments, I am happy to share this draft with ENS for them to start feeding through any comments which they may have.
---
**Reply (Michael Barker — 08:54 UTC):**
Thanks Stephan, we will review and come back with any points. My suggestion would be we get ENS to review in parallel just to keep things moving - @Sam Fletcher, let us know if you agree?
---
**Action:** Review the SARB application Third Draft. Provide any comments to Stephan. If no comments, Stephan will share with ENS for parallel review.

SARB Third Draft reviewed. 5 mandatory fixes (incl. R3,847,050,95 typo missing digit + R96.9m Agterskot reconciliation gap + Initial/Agterskot routing inconsistency + undefined "BidCo" + live placeholders SIH ABSA acct & hedging), 6 clarifying questions (Locked Box 2025 vs 2026, Flysium reg /XX suffix, SIH R162m discharge path, implied 2026 EBITDA c.R135m sanity check, max-vs-estimated SIH discount approval scope, annexure status). Draft reply to Stephan included. No objection to ENS parallel review. Report: reports/mc-3896-sarb-third-draft-review/review.md

REVIEW: Report updated with worked calculations + F2 explanation.
Live: http://100.118.207.3:3001/md-view?file=reports/mc-3896-sarb-third-draft-review/review.md
F2 gap = R96,904,793. Math:
2,643,065,002 (gross Agterskot)
− 392,482,145 (advance set-off)
= 2,250,582,857 expected
vs 2,347,487,650 stated → +96,904,793 unexplained
For stated figure to hold, gross Agterskot must be R2,739,969,795.
Three candidate causes (ranked):
1. Time-value accretion on Agterskot (post-Closing payment date). R96.9m / R2.643bn ≈ 3.67% — plausible sub-12-month SA prime accrual. Most likely.
2. EBITDA revision in body of draft. Gap ≡ R17.62m EBITDA delta at 5.5×. Headline implies R135.5m EBITDA; "implied gross" implies R153m. Internal inconsistency.
3. Drafting typo — should read R2,250,582,857.
Stephan must pick one and disclose. Section 7 of report shows full arithmetic for F1, F2, Q4 EBITDA reverse-check, Q5 SIH discount.

REVIEW: Link was wrong — extra reports/ prefix doubled the path. Working link:
http://100.118.207.3:3001/md-view?file=mc-3896-sarb-third-draft-review/review.md
Verified 200. Report content unchanged (worked F1/F2 calcs + F2 R96.9m gap explanation live). No code change needed — just a bad path in my earlier reply.

Gate PASS — closing. Verified: review doc exists (reports/mc-3896-sarb-third-draft-review/review.md, 14KB, on master), corrected link resolves HTTP 200. The fix was just a doubled-path link (extra reports/ prefix); report content unchanged (worked F1/F2 calcs + the F2 R96.9m gap explanation). No code change. Real deliverable, not churn.
