So only outstanding issue is the PSSA. We will now share with everyone for review. (Forwarding CDH legal — Rachel Kelly, 10 Jun 2026:) Rachel has reviewed the MOI and SHA (incl. Pieter's changes), made minor amendments, broadly happy. ENS largely accepted proposed changes — no major push-backs. Need to see revised PSSA before finalising comments on the two docs but close. One outstanding issue (may need a call): the **restraints** — deleted from the SHA, ENS haven't reinstated but flagged for discussion. Rachel's position: not keen on restraints in the SHA — a "management" subscriber could resign from Safair but keep shares; any restraint should tick from resignation date, not from cease-to-be-shareholder date. What matters to H is continued Safair employment, not shareholding. Suggests restraints belong in revised employment contracts instead. But Steph queried why management should sign revised employment contracts at all unless there's a benefit — alternative is to amend existing employment agreements rather than enter new ones. --- **ACTION REQUIRED:** Review the attached MOI & SHA. Key decision point = restraints placement (SHA vs employment contract) — likely needs a call with CDH. PSSA still outstanding from ENS before finalising.
